You shall use the Licensed Materials solely for educational, non-commercial purposes in connection with classroom teaching, music instruction, or other music-related educational, research and scholarship activities (the “Purpose”). You shall use only the Licensed Materials as provided by NAfME, with the following limited exceptions: You may modify, edit and/or alter the Curriculum only to the extent necessary to suit Your specific teaching settings and objectives in line with the Purpose, provided that You not remove or alter any copyright information displayed or embedded within the Licensed Materials; and You may dub, subtitle and/or voice-over the Programs in any language, including the original, provided that You grant NAfME free access to use any dubbed or subtitled version of the Programs created by You. All other uses of the Licensed Materials are prohibited without NAfME’s prior written approval. NAfME retains the right to specify the form, manner and format in which You may use the Licensed Materials. When using the Licensed Materials, You shall give credit in the forms used in the versions of the Licensed Materials delivered to You by NAfME. NAfME may require You to comply with additional requirements and to display legends, markings and/or other notices as NAfME may request in its sole discretion. All rights not expressly granted to You hereunder are reserved by the respective owners and rights holders in the Licensed Materials, including but not limited to the copyrights, subject only to the License granted hereunder. You shall not acquire or assert any ownership, proprietary or any other rights in the Licensed Materials or any derivative works thereof, or challenge or assist others in challenging such rights. The Licensed Materials are provided to You “AS IS” and NAfME disclaims any representations or warranties of any kind with respect to the Licensed Materials, including but not limited to any warranty concerning non-infringement of third-party rights or the accuracy of the content contained in the Licensed Materials. You acknowledge and agree that: You have fully read these terms and conditions; You have the full right, power and authority to agree to these terms; You will not use the Licensed Materials beyond the scope of the License without the prior written approval of NAfME; and NAfME shall not be liable to You or any third party for any direct or indirect losses or damages arising from any use of the Licensed Materials. NAfME may revoke this License at any time and for any reason in NAfME’s sole discretion, with or without cause. Upon receiving notice that the License is revoked, You shall immediately stop all use of the Licensed Materials and return any and all copies thereof in your possession to NAfME. If any terms of this License are held by a court of competent jurisdiction to be contrary to law, such terms shall be changed and interpreted so as to best accomplish the objectives of the original terms to the fullest extent allowed by law and the remaining terms of this License shall remain in full force and effect.
